The XP-PEN User Agreement (the “Agreement”) is concluded between you (or “User”, means all natural persons or entities who register, connect, use or browse our Services), HANVON UGEE ( HK) TECHNOLOGY CO., LIMITED. Its subsidiaries and affiliates (hereinafter referred to as "XP-PEN" or "we") and our operational cooperators (hereinafter referred to as "cooperator"), with regard to http://www.xp-pen.com and ( hereinafter referred to as the "Site") the products, programs and services (hereinafter referred to as the "Services") of XP-PEN.

Please read this agreement carefully and understand it, including the terms of disclaimer of warranty, limitation of liability and rights and limitations, and choose whether or not to accept this agreement (minors should read it accompanied by the legal representative) . Terms of use of our services

You can visit the site without registration. However, you do need an XP-PEN account (“Account”) and provide relevant personal information on the registration web page to be able to access more services. You can delete or suspend your account by following the instructions on the site. We will keep or delete your account based on this contract.

You agree and take the following actions:

XP-PEN accepts no responsibility for any loss or damage resulting from this behavior or activity.

You have an obligation to take care of the registration information on the site and are responsible for all activities. All of your statements on the site are public information to which any third party can access. User content

User Content means all content (your information, images, music or the like) resulting from downloads, edits or other activity on the XP-PEN Site and Service. You are solely responsible for such content and bear all risks resulting from your disclosure of such user content.

Once you have downloaded, released, or performed any activity through the XP-PEN Site and Services, you automatically grant XP-PEN an irrevocable, non-exclusive, licensed, transferable, royalty-free worldwide license for:

To provide XP-PEN products and services to you or for the purpose of improving such products and services through our use of User Content. You are responsible for the security of your account information and password. You must take legal responsibility for activities performed with registered accounts. You agree not to use passwords and third party accounts under any circumstances. You agree to immediately notify XP-PEN when you suspect that others are using your password or account.

Limitations and restrictions on rights

You must not sell, rent, transfer, release or make any other commercial use of any site content or XP-PEN products and services (including, but not limited to, content, advertisements or sponsored content) ;

You must not visit the site or use the XP-PEN services to establish similar or competitive services;

Unless expressly provided by law, you may not copy, publish, download, modify, translate, merge, decompose, paste or decompile, etc. any part of the XP-PEN site or services (including, but not limited to, content or advertisements). or sponsored content) in any way;

You agree to bear all risk and assume full legal responsibility for the following activities while using the site or services:

.Disable the site's network connection, force the site to manage, interrupt or undermine the website's server and connection in various ways;

.Attempting to visit the site, our server or connection to the site without authorization;

.Interrupt or compromise the normal use of XP-PEN services by other users.

Third party

You understand and agree that our services are based on technical support provided by third parties such as Android, etc. You understand and agree that we may provide some of your personal data to such third parties upon receipt of their technical or other assistance. . You agree to and authorize the site and the XP-PEN products and services to limit your rights to use the site and the Mi Talk services.

User Content means content downloaded, posted or generated during the use of the Site and XP-PEN products and services by users. You must take legal responsibility for the disclosure of the content you cause.

When you visit third party websites and advertising, the third party's terms of service and policies apply. You assume all risk and legal liability when using the services of third parties.

The products and services of the site and of XP-PEN include content provided by other users; and the interaction between you and other users is up to you and other users. XP-PEN does not control such User Content, assumes no legal responsibility, nor does it have an obligation to verify, monitor, review and approve such User Content. You are therefore legally responsible for the risks of such an interaction.

Responsibility for our services

You agree to use the Site or Services in a harmless manner and help XP-PEN to avoid any lawsuit, complaint, loss, damage, liability, cost and expense (including, but not limited to, attorney's fees ) third parties caused by your use of the Site or Services, your user content, your violation of this agreement.

XP-PEN reserves the exclusive right to defend and the right to claim compensation.

You do not unilaterally reconcile when you and XP-PEN together file a lawsuit against a third party without XP-PEN's written consent.

XP-PEN will reasonably notify you of such lawsuits or legal actions.

In any case, XP-PEN will not support any indirect, consecutive, exemplary, fortuitous, exceptional or punitive compensation, resulting from this Agreement. You bear all the risks associated with the use of the computer system and the mobile database via the site or the services.

Disclaimer of warranty

XP-PEN will not assume any legal liability in the circumstances indicated below:

.Provide your personal information requested by government departments or laws;

.Disclose private information caused by your negligent acts;

.Any circumstance caused by suspension, failure, etc. resulting from hacking, virus invasion, blockages due to illegal and harassing content, government control or any other reason related to network, technology, lines of communication and security management of information;

.Cause losses to users due to third parties, such as communication line failure, technical problems, network and computer failure, as well as other force majeure;

Notwithstanding the provisions of this Agreement, our responsibilities shall not exceed the charges (if any) that you pay for the XP-PEN Services during the registration period, for any reason or in any way. .

Intellectual property

Any information published on the site or the interactive platform must not infringe the intellectual property of third parties. You may not upload, post, modify, distribute or copy any copyrighted material or trademark, or proprietary information of third parties, without the written consent of the owner. If XP-PEN receives the appropriate notification from a copyright owner or its legal representative, we will remove the affected content after investigation.

XP-PEN logos, graphics, words, and composition appearing in XP-PEN products and services are trademarks of XP-PEN. Without written consent, you may not display or use them under any circumstances. In any case, an entity or an individual may not use, copy, modify, distribute, transcribe part of the brand or the grouped sale with other products.

In addition to the provisions, you can therefore quickly contact us via our e-mail address (service@xp-pen.com) if you believe that someone is copying or posting your work on the Site and also infringing your copyright. Modification and termination

Modified terms

We may change or modify the terms of this Agreement at any time, and we will notify you through your email address or site notifications. Your use of the site and all other XP-PEN services after changes to the terms of use indicate your acceptance of those changes.

XP-PEN reserves the right to modify, maintain and suspend the Site and XP-PEN products and services without notice from time to time;

You agree that XP-PEN assumes no responsibility for changes, reservations or suspensions of the site and XP-PEN products and services, actions taken by other services or by third parties.

Termination

This agreement becomes valid and remains valid during your use of the Site and the XP-PEN products and services, until terminated in accordance with this agreement.

Notwithstanding the foregoing provisions, this contract comes into effect the first time you use the Site and XP-PEN products and services, if this occurs before you accept this contract. This remains valid unless early termination applies.

We may reserve the right to access the Site, XP-PEN Services and your Account for you; we may terminate this agreement at any time and for any reason without notice because we believe you are in violation of our acceptable policies or other terms of this agreement.

Not subject to the foregoing provisions, XP-PEN reserves the right to terminate this contract if the user infringes the copyright of the third party and receives notification from the owner or the legal representative of the owner.

Upon termination of this Agreement, all accounts on your website and your right to use the Site and XP-PEN products and services will also terminate. You should understand that this means that your User Content will be deleted from our database. XP-PEN assumes no responsibility for the termination of this Agreement, including the termination of your user account and the deletion of your user content.

Any revised version of the site, updates or other modifications to the XP-PEN services will be restricted by this contract.

Additional conditions

Feedback

Your suggestion to XP-PEN (“Feedback”) is considered a transfer of all rights to Feedback; XP-PEN has the right to use comments from all appropriate methods. We also consider these comments to be neither classified nor exclusive.

You agree not to provide any information that you consider to be the confidentiality and property of XP-PEN. We reserve the right (not the obligation) to review your content based on our judgments. We have the right to remove your content at any time for any reason. Depending on the terms of the modification and termination, we have the right to reserve or terminate your account.

Privacy Policy

Please review our privacy policy, it has equivalent rights with and indivisible to this agreement.

Notification

You must provide the most recent, used and valid email address. XP-PEN accepts no responsibility if we are unable to reach you via the e-mail address provided. Without a doubt, notifications on the site and emails sent to you are valid notifications.

Applicable law

The interpretation of the terms of this Agreement, the effectiveness and the resolution of disputes are applicable to the local laws of Hong Kong. If any dispute or controversy arose between you and XP-PEN, it should first be resolved through friendly consultations. If the consultation is unsuccessful, you agree to submit the dispute to the competent court where XP-PEN is located.

Independence

If certain provisions of this agreement cannot be applied for certain reasons, they will be revised to apply legally; and other provisions remain applicable

The entirety

This Agreement (including the Privacy Policy) constitutes the ultimate, entire and exclusive agreement between you and XP-PEN, with respect to any matter relating to the Site, XP-PEN products and services.

The title of each paragraph is written for convenience of reading only and does not imply any legal or contractual obligation.

Without the written consent of XP-PEN, you cannot transfer the rights and obligations set out in this Agreement. Any behavior or activity that violates the provision for such attempted transfer is invalid.
